HOUSTON, 12 Oct. 2008. International embedded computing specialist VMETRO ASA will become part of Curtiss-Wright Controls in Charlotte, N.C. as of this Wednesday, 15 Oct., company officials say.

Curtiss-Wright acquired VMETRO by purchasing 98 percent of the outstanding shares of VMETRO for about $1.91 per share. The total purchase price has not been announced. Curtiss-Wright cleared the final hurdle of the sale on 2 Oct. by securing all necessary government approvals.

VMETRO, with U.S. operations based in Houston, is headquartered in Oslo, Norway. The company provides commercial-off-the-shelf (COTS) board- and system-level embedded computer products for applications in aerospace and defense, industrial, communications, medical, enterprise computing and network storage. The company sells high-speed serial interconnects like PCI Express, Serial RapidIO, Aurora and Serial FPDP in products based on standard formats like VXS, VPX, VME, PMC, XMC, FMC, PCI/PCI-X, PCI Express, AdvancedMC, and CompactPCI.

VMETRO will become part of the Curtiss-Wright Controls Embedded Computing segment in Leesburg, Va. as of 15 Oct. to take advantage of the two companies' complementary technologies and product lines, company officials say.

VMETRO's businesses will be integrated into the Curtiss-Wright Embedded Computing segment's Communications, I/O, and Modular Solutions units to take advantage of potential synergies and complementary product lines, officials say.

VMETRO's main engineering and sales facilities will remain in place after the acquisition, at least for the time being. VMETRO officials point out that the company's acquisition by Curtiss-Wright may require changes to the company's workforces. No further details have been released.
